1.1. This document constitutes a legally binding public offer in accordance with applicable Portuguese and EU commercial law.
1.2. The present offer is addressed to any legal entity, registered business, freelancer, or private individual seeking professional photo, video, or post-production services.
1.3. The Service Provider: ThePhotoBuro, operated by Andrei Golovchenko, NIF 316 277 010, established at Rua Penha de França, Nº 111 B, CV DT, 1170-302 Lisboa, Portugal. Registered under CAE 74200 (Photography Services).
1.4. The Client: Any party who accepts this offer by confirming a booking, making payment, submitting products for shooting, or approving production terms in writing (via email or messenger).
1.5. This Agreement shall be deemed concluded upon written acceptance of project terms or initial payment.

2.1. The Service Provider delivers commercial photography and video production, including but not limited to:

• On-model, mannequin, flatlay, and campaign shoots;
• Post-production (retouching, color correction, compositing);

Delivery of final visual assets as defined in the project scope.
2.2. Project-specific details such as scope, deliverables, turnaround time, and total cost are stated in the issued invoice or formal quote.

3.1. Services are rendered at one of ThePhotoBuro’s production locations (Lisbon, Portugal or Moscow, Russia) or remotely using delivered products.
3.2. The Service Provider is responsible for the technical and visual execution of the shoot in accordance with the agreed brief. The Client is responsible for timely delivery of all products and instructions.
3.3. Final files are transferred via secure cloud storage after full payment has been received.
3.4. Standard post-production turnaround:

• Up to 50 files: 5–7 business days;
• 50–100 files: 7–10 business days;

100+ files: custom timeline upon request.
Deadlines may be extended during peak production periods, with prior client notification.

4.1. Prices quoted exclude VAT (exempt under Article 53 of CIVA).
4.2. New clients:

• 50% deposit is required to confirm booking.
• Remaining balance is payable prior to delivery of final high-resolution materials.
• 4.3. Returning clients:

Prepayment not required; full payment is due prior to final delivery.
4.4. All payments are accepted via approved transfer methods. Invoices are issued upon request.

5.1. Copyright and authorship of all produced visual content remain with ThePhotoBuro unless otherwise agreed in writing.
5.2. The Client receives a non-exclusive, non-transferable commercial usage license valid for two (2) years from first publication.
Permitted uses include:

• E-commerce websites, brand social media, and paid/organic online placements;
• Print materials directly related to the Client's brand (catalogs, lookbooks, inserts).
• 5.3. The following actions are expressly prohibited:
• Resale, sublicensing, or transfer of assets to third parties;

Use outside the original brand/label unless formally agreed.
5.4. Full copyright transfer is only available via separate contract and subject to an additional fee.
5.5. The Service Provider reserves the right to use any delivered assets for its own portfolio (website, social channels, presentations) unless the Client expressly opts out in writing before project start.

6.1. Unauthorized use of images will entitle the Service Provider to:

• Demand cessation of use;
• Invoice for unauthorized commercial usage;
• Terminate any ongoing collaboration without refund.

6.2. The Client bears full responsibility for providing accurate product samples, delivery schedules, and brief specifications. Any reshoots due to errors in provided items or unclear communication will be billed separately.
6.3. Disputes arising from this agreement shall be resolved amicably where possible. If necessary, jurisdiction falls under the competent civil courts of Lisbon, Portugal.

7.1. All agreements, quotes, invoices, and correspondence are legally valid in digital form.
7.2. Simple electronic signatures (name + email) are accepted in accordance with EU eIDAS Regulation.
